End-User License Agreement (EULA)

Subject to the terms and conditions of this Agreement, K³ Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the Software solely for your personal or internal business purposes in accordance with the documentation provided.

You agree not to:

• Modify, translate, adapt, or create derivative works based upon the Software.
• Reverse-engineer, decompile, disassemble, or attempt to discover the source code of the Software.
• Rent, lease, sell, sublicense, assign, or otherwise transfer your rights in the Software.
• Remove any proprietary notices or labels on the Software.
• Use the Software for any unlawful purpose or in violation of any applicable laws or regulations.
• Use the Software to create a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for any services, product, or software offered by Weaver.

All rights, title, and interest in and to the Software, including all intellectual property rights therein, are and shall remain the exclusive property of K³ Labs and its licensors. This Agreement does not convey to you any rights of ownership in or related to the Software or the intellectual property rights owned by K³ Labs.

K³ Labs may, at its sole discretion, provide updates, enhancements, or fixes for the Software (collectively, “Updates”). Any Updates provided to you are made on a license-exchange basis such that you agree, as a condition for receiving an Update, that you will terminate all of your rights to use any previous version of the Software.

Your use of the Software is also governed by our Privacy Policy, which is incorporated by reference into this Agreement. The Privacy Policy details how we collect, use, and protect your personal information. By agreeing to this EULA, you also agree to the terms set forth in our Privacy Policy.

Certain features of the Software may allow you to upload, submit, store, or transmit content, including but not limited to text, images, and other materials (“User Content”). You retain ownership of any intellectual property rights that you hold in the User Content. By submitting User Content, you grant Weaver a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and display such content for the purpose of operating, promoting, and improving our Services.

7.1. “AS IS” Basis: The Software is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind.

7.2. No Warranties: Weaver expressly disclaims all warranties, whether express, implied, or statutory, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

7.3. No Guarantees: Weaver does not warrant that the Software will meet your requirements, be uninterrupted, secure, or error-free, or that any defects will be corrected.

To the maximum extent permitted by applicable law, in no event shall K³ Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses resulting from:

• Your access to or use of, or inability to access or use, the Software.
• Any conduct or content of any third party on the Software.
• Any unauthorized access, use, or alteration of your transmissions or content.

K³ Labs' total liability for all claims under this Agreement shall not exceed the amount paid by you to K³ Labs for the Software during the twelve (12) months prior to the event giving rise to liability.

You agree to indemnify, defend, and hold harmless K³ Labs, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of this Agreement or your use of the Software.

10.1. By You: You may terminate this Agreement at any time by uninstalling and destroying all copies of the Software.

10.2. By Weaver: K³ Labs may terminate this Agreement immediately if you breach any term of this Agreement.

10.3. Effect of Termination: Upon termination, you must cease all use of the Software and destroy all copies, full or partial, of the Software.

11.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law provisions.

11.2. Dispute Resolution: Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration conducted in Los Angeles, California, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The decision of the arbitrator shall be final and binding.

If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be enforced to the maximum extent permissible, and the remaining provisions of this Agreement shall remain in full force and effect.

This Agreement constitutes the entire agreement between you and K³ Labs concerning the Software and supersedes all prior or contemporaneous communications, agreements, and understandings, whether oral or written, with respect to the subject matter of this Agreement.

You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of K³ Labs. K³ Labs may assign or transfer this Agreement without restriction.

K³ Labs reserves the right to modify or replace this Agreement at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. Your continued use of the Software after the effective date of any changes to this Agreement constitutes acceptance of those changes.
